TERMS AND CONDITIONS

SHINY JETS LLC

**Effective Date: October 27, 2025**

1. ACCEPTANCE OF TERMS

By engaging Shiny Jets LLC ("Company," "we," "us," or "our") for any services, purchasing any products, enrolling in training programs, or using any software applications, you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions. These terms apply to ALL services, products, training programs, and software provided by Shiny Jets LLC and Fly Shiny Holdings.

2. SERVICES PROVIDED

Shiny Jets LLC provides:

- Professional aircraft detailing, restoration, ceramic coating application, polishing, and related aviation maintenance services
- Aircraft detailing training programs (online and in-person)
- Aviation detailing products and supplies
- Pricing application software and related tools
- Booking software and AI-powered scheduling systems
- Consultation and technical support services

These Terms and Conditions apply to ALL services, products, training programs, and software applications offered through our website and business operations.

3. RIGHT TO DECLINE SERVICE

We reserve the absolute right to decline service, refuse product sales, deny training enrollment, or restrict software access to any customer for any reason, including but not limited to:

- Safety concerns
- Inadequate aircraft access or facilities
- Customer behavior or conduct
- Scheduling conflicts
- Technical limitations
- Any other reason deemed appropriate by Company management

4. PAYMENT TERMS

4.1 Payment in Full

Customer must pay for all services, products, and training programs in full before commencement of work or delivery. No services will begin, products shipped, or training access provided until payment is received and processed.

4.2 Payment Methods

We accept cash, check, credit cards, and electronic transfers as specified in your service agreement.

4.3 Additional Costs

Customer is responsible for all additional costs including but not limited to materials, supplies, shipping, handling, and any unforeseen expenses related to service completion or product delivery.

4.4 Digital Products and Online Training - No Refunds

**ALL SALES OF DIGITAL PRODUCTS ARE FINAL.** This includes but is not limited to:

- Online training courses and programs
- Digital course materials, videos, and downloads
- Software subscriptions (SaaS products)
- Digital licenses and access codes
- Electronic training materials
- Any other digital or downloadable content

**ONCE PURCHASED AND ACCESS IS GRANTED, NO REFUNDS WILL BE PROVIDED UNDER ANY CIRCUMSTANCES.** By purchasing digital products or online training, Customer acknowledges that:

- Access to digital content constitutes delivery of the product
- Digital products cannot be "returned" once accessed
- Customer has reviewed all available information about the product before purchase
- No refunds will be issued for change of mind, dissatisfaction, or non-use
- Technical support is available, but technical issues do not constitute grounds for refund

4.5 SaaS Products and Software Subscriptions - No Refunds

**ALL SOFTWARE-AS-A-SERVICE (SaaS) SUBSCRIPTIONS ARE NON-REFUNDABLE.** This includes:

- The Shiny Jets Pricing App
- Booking software and scheduling systems
- Any AI-powered tools or applications
- Monthly or annual software subscriptions
- Software licenses and access fees

Customer acknowledges that:

- Subscription fees are charged in advance and are non-refundable
- Cancellation of subscription stops future billing but does not entitle Customer to refund of current period
- Free trials (if offered) must be cancelled before trial period ends to avoid charges
- Once subscription period begins, no prorated refunds will be issued
- Software access may be terminated immediately upon non-payment

4.6 Chargeback Policy

**CHARGEBACKS ARE STRICTLY PROHIBITED AND CONSTITUTE BREACH OF CONTRACT.**

Customer agrees that:

- Initiating a chargeback for any digital product, training program, or SaaS subscription is a material breach of these Terms
- Customer must contact Company directly to resolve any billing disputes BEFORE initiating chargeback
- Unauthorized chargebacks will result in immediate termination of all services, training access, and software subscriptions
- Company reserves the right to pursue legal action and collection of all amounts due, plus legal fees and costs
- Customer will be liable for all chargeback fees, administrative costs, and legal expenses incurred by Company
- Customer's account will be permanently banned from future purchases or services
- Company may report fraudulent chargebacks to appropriate authorities and credit bureaus

**IF CUSTOMER DISPUTES A CHARGE, CUSTOMER MUST:**

1. Contact Company within 7 days of charge appearing on statement at sales@shinyjets.com
2. Provide detailed explanation of dispute
3. Allow Company 14 business days to investigate and respond
4. Work in good faith to resolve the dispute directly with Company

**ONLY AFTER FOLLOWING THIS PROCESS** may Customer consider other dispute resolution options.

4.7 Payment Processor Disputes

Customer acknowledges that payment processors (credit card companies, PayPal, etc.) may allow dispute filing, but doing so without first following Section 4.6 procedures constitutes breach of contract and waiver of all future services.

5. TRAVEL FEES AND EXPENSES

5.1 Travel Day Fee

A travel day fee of $500 per day applies for services requiring travel to customer location.

5.2 Per Diem

Our per diem rate is $90 per day for travel-related services.

5.3 Customer Responsibilities for Travel Expenses

Customer shall pay for and provide:

- Hotel accommodations
- Rental car or transportation
- Lodging expenses
- Gasoline and fuel costs
- Meals and incidental expenses
- Any other travel-related costs

5.4 Sunday Work Restriction

We do not perform services on Sundays. However, if travel occurs on a Sunday, customer remains responsible for all associated costs including per diem and accommodations.

6. POLISHING AND COMPOUNDING SERVICES

6.1 Standard Polishing

Our standard service includes one-step polishing as specified in the service agreement.

6.2 Additional Compounding

Any compounding work beyond one-step polishing will incur additional charges. Customer will be notified of additional costs before proceeding with extended polishing services.

7. SCHEDULING AND CANCELLATION POLICY

7.1 Service Rescheduling

Customer is allowed ONE (1) reschedule of services without penalty.

7.2 Training Attendance Policy

For training programs (online or in-person):

- If customer misses a scheduled training session, they may reschedule ONE (1) additional time without penalty
- After missing one training and using the one allowed reschedule, any subsequent missed sessions or cancellations will result in forfeiture of all payments made
- No refunds will be provided for missed training sessions beyond the one allowed reschedule

7.3 Two-Cancellation Forfeiture Policy

**AFTER TWO (2) CANCELLATIONS OR RESCHEDULES, ALL PAYMENTS ARE FORFEITED.**

Customer acknowledges that:

- First cancellation/reschedule: Allowed without penalty (service or training will be rescheduled)
- Second cancellation/reschedule: **ALL PAYMENTS ARE IMMEDIATELY FORFEITED** with no refund
- This policy applies to all services, training programs, and scheduled appointments
- "Cancellation" includes failure to appear, late cancellation (less than 48 hours notice), or requesting additional reschedule
- Company incurs significant costs for scheduling, preparation, and lost business opportunities
- This forfeiture policy is firm and non-negotiable

7.4 Online Training Cancellation

For online training courses and digital products:

- **NO CANCELLATIONS OR REFUNDS** are permitted once access has been granted
- Customer has immediate access upon purchase and therefore product has been delivered
- Non-use of online training does not constitute grounds for refund
- Technical difficulties must be reported immediately for support, but do not entitle Customer to refund

7.5 Weather and Force Majeure

Company reserves the right to reschedule services or training due to weather, safety concerns, or circumstances beyond our control without penalty to either party. Company-initiated reschedules do not count toward Customer's cancellation limit.

8. COMMUNICATION AND MARKETING CONSENT

8.1 Quote and Communication Delivery

By engaging our services, purchasing products, or enrolling in training programs, customer agrees to receive quotes, estimates, training materials, product information, and service communications via email and text message.

8.2 Email Marketing

Customer consents to receive marketing communications, newsletters, promotional materials, and service updates via email. Customer may opt-out at any time using the unsubscribe link provided in communications.

8.3 Contact Information

Customer is responsible for providing accurate contact information and updating us of any changes.

9. PRICING APPLICATION SOFTWARE DISCLAIMER

9.1 Software Provided "As Is"

The Shiny Jets Pricing App, booking software, AI-powered scheduling tools, and any related software applications are provided "AS IS" without warranty of any kind, either express or implied.

9.2 No Liability for Business Losses

**SHINY JETS LLC IS NOT RESPONSIBLE FOR ANY LOSSES, DAMAGES, OR FINANCIAL HARM INCURRED BY COMPANIES OR INDIVIDUALS WHO USE ANY SOFTWARE APPLICATIONS, INCLUDING BUT NOT LIMITED TO THE PRICING APP, BOOKING SOFTWARE, OR AI-POWERED TOOLS.** This includes but is not limited to:

- Lost revenue or profits
- Incorrect pricing calculations
- Booking errors or scheduling conflicts
- AI-generated recommendations or decisions
- Business decisions based on app data
- Technical malfunctions or errors
- Data loss or corruption
- Security breaches or unauthorized access
- Integration failures with third-party systems
- Competitive disadvantages
- Customer disputes arising from software use
- Any other direct or indirect business losses

9.3 AI and Automated Systems Disclaimer

**ARTIFICIAL INTELLIGENCE AND AUTOMATED BOOKING SYSTEMS:**

Customer acknowledges that:

- AI-powered features are experimental and may produce unexpected results
- Automated booking and scheduling systems may contain errors
- AI recommendations do not constitute professional advice
- Customer is solely responsible for verifying all AI-generated content, bookings, and scheduling
- Company is not liable for decisions made based on AI or automated system outputs
- AI systems may be updated, modified, or discontinued without notice
- No guarantee is made regarding accuracy, reliability, or availability of AI features

9.4 User Responsibility

Users of all software applications acknowledge that:

- They are solely responsible for verifying all pricing calculations, bookings, and scheduling
- Business decisions based on app data or AI recommendations are made at their own risk
- Software is a tool only and does not replace professional business judgment
- They should independently verify all information before presenting to customers or making business decisions
- They are responsible for maintaining backups of all critical data
- They must comply with all applicable laws and regulations when using software

9.5 Software Updates and Availability

Company reserves the right to modify, update, or discontinue any software application at any time without notice. No guarantee is made regarding continuous availability or functionality.

9.6 Software Subscription Non-Refund Policy

**ALL SOFTWARE SUBSCRIPTIONS ARE NON-REFUNDABLE.** See Section 4.5 for complete SaaS refund policy.

10. TRAINING PROGRAM SPECIFIC TERMS

10.1 Program Limitations

Training programs are intended only for the purchaser and may not be transferred to or shared with any other individual or entity without written consent.

10.2 Training Materials

All training materials, videos, documents, and content remain the intellectual property of Shiny Jets LLC and may not be reproduced, distributed, or used for commercial purposes without written permission.

10.3 Certification and Completion

**IMPORTANT CERTIFICATION DISCLAIMER:**

Any certificates, certifications, or completion documents issued by Shiny Jets LLC are NOT recognized, endorsed, or approved by any government agency, aviation authority, regulatory body, or industry organization. Shiny Jets certifications are solely certificates of completion indicating that the Customer has completed our training program.

Customer acknowledges that:

- Shiny Jets certification is NOT an official industry credential
- Shiny Jets certification is NOT required or recognized by the FAA, EASA, or any aviation regulatory body
- Shiny Jets certification does NOT guarantee employment, business success, or any specific benefits
- Shiny Jets certification may NOT provide any competitive advantage or professional recognition
- Completion of training programs does not guarantee certification, employment, or business success
- Training is provided for educational purposes only
- Customer is responsible for determining whether additional credentials, licenses, or certifications are required for their intended business or employment purposes

10.4 Online Training Access

Online training access is granted for the duration specified in the product description. Company reserves the right to:

- Modify course content at any time
- Update or remove training materials
- Discontinue courses with reasonable notice
- Restrict access for violation of terms

10.5 No Refunds for Online Training

**ONLINE TRAINING COURSES ARE NON-REFUNDABLE DIGITAL PRODUCTS.** See Section 4.4 for complete digital product refund policy.

Customer acknowledges that:

- Once access is granted, the product has been delivered
- Dissatisfaction with content does not entitle Customer to refund
- Technical support is available but technical issues do not constitute grounds for refund
- Customer is responsible for ensuring system compatibility before purchase
- Sample content and course descriptions are provided for evaluation before purchase

11. DISCLAIMERS AND HOLD HARMLESS AGREEMENT

11.1 Aircraft Manual Compliance

**CAUTION:** Our services are NOT a replacement for the aircraft manufacturer's manual. Customer is responsible for being familiar with the manufacturer's manual for any aircraft, including all equipment and appurtenances. Customer should read all information before proceeding and use specified materials according to manufacturer instructions.

11.2 Program Limitations

**CAUTION:** Our training programs are intended only for the purchaser and may not be transferred to or provided to any other individual or entity.

11.3 Hold Harmless Agreement

By engaging our services, purchasing products, enrolling in training programs, or using our software applications, Customer agrees to hold harmless Shiny Jets LLC, Fly Shiny Holdings, and their subsidiaries, affiliates, officers, directors, employees, and agents ("Released Parties") from any claims, expenses, damages, losses, or any other cause of action with respect to Customer's acts or omissions in the performance of maintenance, repair, or modification of any aircraft or aircraft equipment, use of training materials, business decisions based on software applications, or any other activities related to our products and services, including but not limited to:

- Damage to aircraft interior or exterior
- Paint damage or discoloration
- Avionics, electrical, or mechanical equipment damage
- Engine or auxiliary power unit issues
- Tooling damage
- Aircraft hangar or ramp space damage
- Environmental contamination
- Business losses from pricing app usage
- Training-related incidents or accidents
- Product defects or performance issues
- AI-generated errors or recommendations
- Booking and scheduling system errors
- Any similar claims, expenses, damages, or losses

11.4 Warranty Disclaimer

RELEASED PARTIES MAKE NO WARRANTIES OR REPRESENTATIONS WHATSOEVER CONCERNING THE SERVICES, PRODUCTS, TRAINING PROGRAMS, OR SOFTWARE PROVIDED. CUSTOMER HEREBY EXPRESSLY WAIVES ANY CLAIM FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY ECONOMIC LOSS, LOSS OF USE, LOSS OF REVENUE OR PROFIT, OR DIMINUTION IN VALUE.

11.5 Negligence Coverage

This Hold Harmless Agreement SPECIFICALLY INCLUDES the hold harmless of Released Parties for their negligence. This provision shall be effective for negligence occurring before, during, and after service provision.

11.6 Risk Acknowledgment

Customer acknowledges awareness of risks associated with aircraft cleaning and detailing, training program participation, product usage, and software application usage, and confirms having had opportunity to review this agreement and consult with independent legal counsel.

12. JURISDICTION AND LEGAL MATTERS

12.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California.

12.2 Jurisdiction

Any disputes arising from these terms or services provided shall be subject to the exclusive jurisdiction of the courts in the City of San Diego, California.

12.3 Venue

Customer agrees that any legal proceedings shall be conducted in San Diego, California, and waives any objection to venue or inconvenient forum.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms and Conditions constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.

13.2 Modification

These terms may only be modified in writing and signed by both parties.

13.3 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Assignment

Customer may not assign these terms or any rights hereunder without Company's written consent.

13.5 Waiver

No waiver of any provision shall be deemed a waiver of any other provision or subsequent breach.

14. DISPUTE RESOLUTION

14.1 Mandatory Pre-Litigation Communication

Before initiating any legal action, chargeback, or formal dispute, Customer MUST:

1. Contact Company in writing via email at **sales@shinyjets.com**
2. Provide detailed description of the dispute
3. Allow Company 14 business days to investigate and respond
4. Participate in good faith negotiations to resolve the matter

14.2 Arbitration Agreement

Any disputes not resolved through Section 14.1 shall be resolved through binding arbitration in San Diego, California, in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver

Customer agrees to resolve disputes individually and waives the right to participate in class action lawsuits or class-wide arbitration.

14.4 Legal Fees

In any dispute or legal proceeding, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.
